Standard Terms & Conditions of Sale
1. GENERAL
These Terms and Conditions apply to all products manufactured and supplied by SPANGUARD Corporation (“SPANGUARD”). No modification, waiver, or addition to these terms shall be binding unless agreed to in writing by SPANGUARD.
2. PRICING & QUOTATIONS
All quotations are subject to change without notice and are valid for thirty (30) days unless otherwise stated in writing. SPANGUARD reserves the right to correct clerical or typographical errors.
Applicable sales, use, or similar taxes are the responsibility of the purchaser unless a valid tax exemption certificate is provided.
3. ORDERS & CANCELLATIONS
Orders are not binding until accepted by SPANGUARD in writing.
Accepted orders may not be canceled or modified without written approval from SPANGUARD. Approved cancellations or changes may be subject to material, engineering, production, restocking, or administrative charges incurred prior to cancellation.
4. PAYMENT TERMS
Unless otherwise agreed in writing, payment terms are net thirty (30) days from the invoice date for approved accounts.
Past due balances may accrue interest at a rate of 1.5% per month or the maximum rate permitted by law.
SPANGUARD reserves the right to withhold shipment or suspend performance on accounts with outstanding balances.
5. SHIPPING & DELIVERY
All shipments are F.O.B. Ex Works, Tioga, Pennsylvania, unless otherwise specified.
Shipping dates are estimates only and are not guaranteed. SPANGUARD shall not be liable for delays caused by events beyond its reasonable control, including but not limited to labor disruptions, material shortages, transportation delays, governmental actions, natural disasters, or other force majeure events.
SPANGUARD shall not be responsible for consequential or delay-related damages unless specifically agreed to in writing.
6. PRODUCT CHANGES
SPANGUARD reserves the right to make design, specification, or material changes without notice when such changes do not materially affect product function or performance.
Customer-requested changes after order acceptance are subject to written approval and may result in additional charges or revised lead times.
7. LIMITED WARRANTY
SPANGUARD warrants products of its manufacture against defects in material and workmanship for a period of one (1) year from the date of shipment.
This warranty applies only to the original purchaser and only when products have been properly installed, maintained, and operated under normal conditions.
SPANGUARD’s obligation under this warranty is limited, at its sole discretion, to the repair or replacement of defective products or components returned prepaid to SPANGUARD for inspection.
This warranty does not include:

field labor
-
removal or reinstallation costs
-
shipping charges
-
damage caused by improper installation, misuse, modification, accident, or unauthorized repair
Products manufactured by others are subject only to the original manufacturer’s warranty, if applicable.
Except for the express warranty stated above, SPANGUARD disclaims all other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.
SPANGUARD shall not be liable for incidental, indirect, special, or consequential damages arising from the use of its products.
8. RETURNS / RMA POLICY
Return Authorization Required
All returns, exchanges, repairs, or warranty claims require a Return Merchandise Authorization (RMA) number issued by SPANGUARD prior to shipment.
Returns received without an approved RMA number may be refused or returned at the customer’s expense.

RMA Validity
Approved RMA numbers are valid for ninety (90) days from the date of issuance.
Returns received after the expiration period may be rejected or subject to additional charges.
Replacement merchandise shipped prior to receipt and inspection of returned goods may be invoiced separately, including applicable shipping, handling, or restocking charges.
Outstanding Invoices
Issuance of an RMA does not cancel, reduce, or delay payment obligations.
Customers may not withhold, offset, or reduce payment due to a pending return request.
Credits & Return Conditions
Approved returns received within the authorized period and determined to be in acceptable condition may qualify for account credit, less applicable restocking, handling, shipping, or repair charges.
Credits:

are non-refundable

are not redeemable for cash

may only be applied toward future purchases from SPANGUARD
Customers are responsible for return shipping costs unless otherwise approved in writing by SPANGUARD.
SPANGUARD reserves the right to reject returns that:

are improperly packaged
-
arrive damaged
-
are incomplete
-
fall outside warranty coverage
-
do not comply with issued RMA instructions
9. GOVERNING TERMS
These Terms and Conditions apply to all SPANGUARD sales unless superseded by a separate written agreement signed by both parties.
